Mobix Labs, Inc. (Nasdaq: MOBX) announced that it has executed a definitive agreement to acquire Special Project Delivery, Inc. (SPD), a strategic infrastructure platform focused on U.S. supply chains for rare earth elements, critical minerals, and energy storage.
The agreement moves the previously announced Mobix-SPD combination from letter-of-intent stage into definitive documentation and positions SPD as a core infrastructure layer within Mobix Labs' National Security Matters initiative.

The proposed SPD acquisition is positioned as a cornerstone in Mobix Labs' expansion from defense and aerospace solutions into a broader national-security platform. The combined company is expected to pursue opportunities tied to domestic mineral rights, strategic resource infrastructure, missile-defense and homeland-defense architecture, American-built drones and autonomous systems, and federal critical-minerals and stockpile programs.
National Security Matters Alignment
Mobix Labs' National Security Matters initiative is designed around a wider set of U.S. security priorities, including defense and aerospace electronics, domestic drones and autonomous systems, rare earth elements, critical minerals, energy, and critical infrastructure.
SPD adds an upstream resource and infrastructure platform to that strategy. Where Mobix Labs has historically served the components, systems, and electronics side of national-security markets, SPD brings exposure to the materials, energy, and water systems those markets depend on.
Why Critical Minerals Matter
SPD's thesis is that secure access to underlying materials has become a binding constraint for U.S. national-security manufacturing. Rare earth elements, lithium, and other critical minerals remain concentrated in foreign supply chains while demand accelerates across defense electronics, autonomous systems, grid resilience, and AI data-center infrastructure.
By combining with Mobix Labs, SPD is expected to connect its critical-resource platform with a publicly traded defense and dual-use technology company already operating inside aerospace, defense, and high-reliability supply chains.

The SPD acquisition is structured as an all-stock transaction. Consideration is not expected to exceed 4.8 million shares of Mobix common stock. Closing is expected before the end of 2026 and remains subject to Mobix stockholder approval and satisfaction of other customary closing conditions.

Mobix Labs scheduled an investor call for August 13, 2026, at 4:15 p.m. ET to discuss the National Security Matters initiative. The call was set to include remarks from Paul Singarella, Co-Founder of Special Project Delivery.
